Doctor & Healthcare Provider Agreement

1. LISTING AND PROFILE

1.1 Profile Listing

OPLive displays Practitioner profiles to enable Users (also referred to as Patients contextually) to discover and book appointments. OPLive reserves the right to display or take down profiles with reasonable notice, except where immediate action is required for patient safety or legal compliance.

1.2 Listing Protocol

Practitioner listing and ranking is governed by OPLive's merit-based relevance algorithm considering: User ratings and feedback, appointment availability, response rate, compliance status, and 'Verified & Insured' designation. Listing order is NOT solely determined by OPLive management.

2. ELIGIBILITY AND ONBOARDING

2.1 Eligibility

  • Valid, current NMC/SMC registration verifiable at www.nmc.org.in.
  • Good standing — no pending suspension or deregistration.
  • Minimum MBBS or recognised AYUSH qualification.
  • Functional device and internet connection for teleconsultation.
  • Professional indemnity insurance: STRONGLY RECOMMENDED per Guideline 15, Telemedicine Practice Guidelines 2020. Not a hard mandatory requirement. Certificate required for 'Verified & Insured' badge only.

2.2 Document Requirements

  • NMC/SMC Registration Certificate: mandatory.
  • MBBS / PG Degree Certificate: mandatory.
  • Government-issued Photo ID (Aadhaar / Passport): mandatory.
  • PAN Card: mandatory; required for Tax Deduction at Source (TDS) compliance under the Income Tax Act, 1961.
  • Bank Account Details: mandatory (voided cheque or bank statement).
  • GST Registration Certificate: if GST-registered.
  • Specialty Certificate (MD/MS/DNB or equivalent): mandatory for specialists.
  • Professional Indemnity Insurance Certificate: optional; required for 'Verified & Insured' badge.
  • Telemedicine Awareness Declaration (Platform Form): mandatory; completed during onboarding.
  • Telemedicine Course Completion Certificate or Screenshot: strongly encouraged.

3. NATURE OF RELATIONSHIP

The Practitioner is an INDEPENDENT CONTRACTOR. OPLive provides technology facilitation only. All clinical responsibility remains solely with the Practitioner.

4. CLINICAL COMPLIANCE

For teleconsultations: strict compliance with Telemedicine Practice Guidelines 2020, including: patient identity verification; consultations within registered expertise; clinical documentation; prohibition on Schedule X, MTP, opioids, sedatives, hypnotics via teleconsultation; and emergency referral protocol (advise 112 immediately).

For Home OP and Clinic OP (physical consultations): standard IMC/NMC professional regulations apply. Schedule X prescriptions follow professional standards — no OPLive restriction applies to physical consultations.

5. PRESCRIPTION STANDARDS

All prescriptions must include: patient name and age; date; drug name (generic preferred), dosage, route, frequency, and duration; Practitioner name, qualification, and NMC/SMC registration number; Practitioner digital signature. The Practitioner is solely responsible for clinical appropriateness of all prescriptions.

6. FEES AND PAYMENTS

  • Consultation Fee: Set by the Practitioner, displayed accurately on the Application.
  • Platform Service Fee: OPLive charges upto ₹100 as service fee from users for booking an appointment.
  • Net Fee Remittance: Remitted to Practitioner's registered bank account within seven (7) working days of consultation completion, subject to no pending disputes.
  • TDS: Deducted as applicable under Income Tax Act, 1961. Form 16A issued quarterly. PAN Card mandatory at onboarding.
  • Monthly Statement: OPLive provides a monthly statement of consultations, fees, Platform Service Fee, TDS deducted, and net amount remitted.

7. PROFESSIONAL OBLIGATIONS

  • Maintain highest professional ethics per IMC (Professional Conduct) Regulations 2002.
  • Maintain strict patient confidentiality.
  • Respond promptly to confirmed appointments.
  • Inform OPLive as soon as reasonably practicable if unable to attend a confirmed appointment. In genuine clinical emergencies, advance notice may not always be possible.
  • Not engage in unethical advertising or conduct prohibited by NMC Regulations.

8. DATA PROTECTION

Patient health data is Sensitive Personal Data under SPDI Rules and DPDP Act 2023. Practitioners must: access only minimum data necessary; not copy or store patient data outside the Application without consent; not share patient data without explicit authorisation; and report suspected breaches to dpo@oplive.app immediately.

9. INDEMNIFICATION

The Practitioner indemnifies OPliveHealth Private Limited from all claims, damages, liabilities, costs, and expenses arising from: any medical service rendered or omitted; breach of this Agreement; violation of Telemedicine Guidelines or professional regulations; malpractice; or misrepresentation of qualifications.

10. TERMINATION

10.1 Immediate (24-hour notice to follow):

Patient safety risk; fraudulent credentials; regulatory direction; NMC/SMC registration cancelled. Disputes: legal@oplive.app within 7 days.

10.2 With 14 days' written notice:

Persistent failure to attend appointments; verified patient complaints of unprofessional conduct; data protection breach; failure to maintain valid NMC/SMC registration; material breach of this Agreement. 'Material breach' includes: fraudulent credentials, wilful patient harm, and repeated telemedicine prescription violations.

11. LIMITATION OF LIABILITY AND FORCE MAJEURE

OPLive's total aggregate liability to a Practitioner shall not exceed INR 1,000 (Rupees One Thousand Only). Neither party is liable for failure caused by Force Majeure Events as defined in the User Terms & Conditions.

12. GOVERNING LAW

Governed by laws of India. Jurisdiction: Trivandrum, Kerala. English version prevails.
